Terms and Conditions

Welcome to Satyn Circle. These Terms and Conditions ("Terms") govern your access to and use of the Satyn Circle website, membership platform, premium content, resources, community features, events, sessions and related services (collectively, the "Platform").

Satyn Circle ("Satyn Circle", "Satyn", "we", "us" or "our") provides paid membership access to selected services and content through the Platform.

By creating an account, purchasing a membership, joining through an organisation or otherwise using the Platform, you agree to these Terms.

If you do not agree to these Terms, you should not use the Platform.

1. About Satyn Circle

Satyn Circle is a membership-based platform designed to provide members with access to premium editorial content, professional and personal development resources, community opportunities and other membership benefits.

Services may include:

• Premium articles and editorial content;
• Guides, reports, templates and downloadable resources;
• Member-only resources;
• Professional development and educational content;
• Community and networking opportunities;
• Organisation-sponsored memberships;
• Organisation membership management tools;
• Online or in-person sessions, workshops, discussions and programmes;
• Newsletters and member communications; and
• Additional services introduced from time to time.

The features included within a membership may vary according to the membership plan selected.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to purchase a Satyn Circle membership in your own name.

By registering, you confirm that the information you provide is accurate and that you are legally capable of entering into these Terms.

Where an organisation creates or sponsors your membership, additional terms agreed between Satyn Circle and that organisation may apply.

3. Member Accounts

Certain Platform features require an account.

You are responsible for:

• Providing accurate and current registration information;
• Maintaining the confidentiality of your login credentials;
• Keeping your contact information updated;
• All activity conducted through your account; and
• Informing us promptly if you believe your account has been accessed without authorisation.

Membership accounts are personal to the registered member unless the relevant organisational membership expressly provides otherwise.

You may not sell, transfer, lend or share your account or login credentials with another person.

4. Individual Memberships

Individual members may purchase Satyn Circle membership through the membership plans available on the Platform.

The price, membership duration, benefits and applicable conditions will be displayed at the time of purchase.

Satyn Circle memberships do not automatically renew.

Each membership is purchased through a one-time payment for the stated membership period.

When your membership period expires, paid membership access will end unless you choose to renew your membership by completing a new payment.

Satyn Circle will not automatically charge your payment method when your membership expires.

We may send reminders before or after the expiry of your membership, but renewal remains entirely optional and requires action by the member.

5. Organisation Memberships

Satyn Circle may allow companies, institutions and other organisations to purchase or manage memberships for their employees, members or other authorised users.

An organisation may be able to:

• Invite members;
• Create or deactivate member access;
• View membership status;
• Manage membership allocations;
• Maintain relevant member information;
• Review participation or engagement information where this functionality is available; and
• Access administrative tools provided through the Platform.

Organisation administrators are responsible for ensuring that they are authorised to provide member information to Satyn Circle and to manage accounts belonging to their organisation.

Members whose accounts are provided through an organisation acknowledge that certain account and membership information may be visible to authorised administrators of that organisation.

Satyn Circle will not provide organisation administrators with private member information beyond the information reasonably necessary to administer the relevant organisational membership, except where the member has consented, the functionality clearly provides for such sharing, or disclosure is otherwise permitted or required by law.

6. Membership Fees and Payments

Membership fees are displayed before purchase.

By purchasing a paid membership, you authorise Satyn Circle and/or its payment service provider to process the one-time payment displayed during checkout.

Purchasing a membership does not authorise Satyn Circle to make recurring charges to your payment method.

No automatic renewal payment will be taken when your membership expires.

If you wish to continue your membership after expiry, you must manually renew it and complete a new payment.

Prices and membership benefits may change from time to time.

Any revised price will apply to future membership purchases or renewals and will not retrospectively change the price of a membership period that has already been paid for.

7. Membership Period and Expiry

Your paid membership remains active for the membership period stated when you purchase it.

At the end of that period:

• Your paid membership will expire automatically;
• No renewal payment will be taken automatically;
• Premium membership benefits may no longer be available;
• Your account may remain registered on the Platform where applicable; and
• You may choose to purchase a new membership to restore premium access.

Members may request account closure at any time by contacting Satyn Circle.

Closing an account during an active paid membership period does not automatically entitle the member to a refund.

Refunds are governed by our Refund and Cancellation Policy and applicable law.

Organisation-sponsored memberships may expire, be deactivated or be reassigned in accordance with the relevant organisation's membership arrangement with Satyn Circle.

8. Premium Content and Resources

Premium articles, resources, reports, videos, recordings, guides, templates and other restricted materials are provided for the personal or internal organisational use of authorised members.

Unless expressly permitted by Satyn Circle, you may not:

• Republish premium content;
• Upload premium materials to another website or platform;
• Share paid resources publicly;
• Redistribute member-only resources to non-members;
• Sell or commercially exploit Satyn Circle content;
• Remove copyright or ownership notices;
• Systematically download or archive Platform content;
• Scrape, crawl or extract Platform content using automated systems; or
• Use Satyn Circle content to create a competing publication, database, membership service or commercial product.

You may share links to publicly available Satyn content unless otherwise stated.

9. Intellectual Property

Unless otherwise indicated, all rights in the Platform and its original content, including articles, branding, graphics, videos, photographs, reports, resources, templates, logos and Platform design, belong to Satyn Circle, its operator or its licensors.

Your membership gives you a limited, personal, non-exclusive, non-transferable and revocable right to access content made available under your membership plan during the applicable membership period.

Membership does not transfer ownership of any intellectual property to you.

10. Member Contributions

Where Satyn Circle allows comments, discussions, profile information, submissions, questions, testimonials or other member-generated content, you remain responsible for the material you submit.

You must not submit content that:

• Is unlawful;
• Is abusive, threatening or discriminatory;
• Harasses another person;
• Infringes intellectual property or privacy rights;
• Contains malicious software;
• Is deliberately false or misleading;
• Constitutes spam or unauthorised advertising; or
• Is otherwise inappropriate for the Satyn Circle community.

You grant Satyn Circle the rights reasonably necessary to host, display, process and administer content you submit through the Platform.

Where we wish to use a testimonial, photograph, quotation or member story publicly for promotional purposes beyond the normal operation of the Platform, we may request additional permission where appropriate.

11. Sessions, Workshops and Events

Satyn Circle may introduce online or in-person sessions, workshops, webinars, mentoring opportunities, networking events or other programmes.

Some sessions or programmes may be included as membership benefits, while others may require separate registration or payment.

Individual programmes may have additional:

• Registration requirements;
• Fees;
• Attendance rules;
• Cancellation conditions;
• Recording arrangements; or
• Participation terms.

These will be communicated when applicable.

Participation in a Satyn Circle session does not guarantee employment, promotion, business results, professional accreditation or any particular outcome.

12. Educational and Informational Purpose

Content available through Satyn Circle is provided primarily for informational, educational and professional-development purposes.

Unless expressly stated otherwise, Satyn Circle content does not constitute legal, financial, medical, psychological, investment, employment or other regulated professional advice.

Members should obtain appropriate professional advice where necessary.

13. Third-Party Contributors and Links

Satyn Circle may feature content, sessions or resources created by external experts, contributors, speakers or organisations.

The Platform may also contain links to third-party websites.

Satyn Circle is not responsible for the availability, privacy practices, content, products or services of independent third parties.

Views expressed by individual contributors or speakers do not necessarily represent the views of Satyn Circle.

14. Acceptable Use

You must not:

• Attempt to gain unauthorised access to the Platform;
• Circumvent membership or access controls;
• Interfere with Platform security;
• Introduce viruses or malicious code;
• Impersonate another person;
• Use another person's account without permission;
• Collect member information without authorisation;
• Use the Platform for unlawful activity; or
• Use the Platform in a manner that materially interferes with other members' use of the service.

15. Suspension or Termination

We may suspend or terminate an account where we reasonably believe that:

• These Terms have been materially breached;
• A payment has failed, been reversed or been obtained fraudulently;
• An account is being shared or misused;
• Platform security is threatened;
• Fraudulent activity has occurred;
• A member is seriously disrupting or harming the community; or
• Suspension is required by law.

Where appropriate, we may provide notice and an opportunity to resolve the issue.

A member may request account closure by contacting circle@satynmag.com.

16. Platform Availability

We aim to provide reliable access to Satyn Circle but cannot guarantee uninterrupted availability.

Access may occasionally be affected by maintenance, upgrades, technical issues, third-party infrastructure, security events or circumstances outside our reasonable control.

We may add, modify or discontinue individual Platform features as the service develops.

Where a material change significantly affects an active paid membership, we will take reasonable steps to communicate that change.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Satyn Circle will not be liable for indirect, incidental, special or consequential losses arising solely from your use of, or inability to use, the Platform.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any mandatory rights available to consumers under applicable law.

18. Privacy

Our collection and use of personal information is governed by the Satyn Circle Privacy Policy.

Organisation administrators should also ensure that they have an appropriate legal basis and authority to provide member information to the Platform.

19. Changes to These Terms

We may update these Terms to reflect changes to:

• The Platform;
• Membership features;
• Legal or regulatory requirements;
• Payment arrangements; or
• Our operations.

The updated Terms will be published on the Platform with a revised "Last updated" date.

Where changes are material, we may provide additional notice.

Continued use of the Platform after an updated version takes effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.

20. Governing Law

These Terms are governed by the laws of Sri Lanka, without prejudice to any mandatory consumer protection rights that may apply under applicable law.

Any dispute that cannot be resolved between the parties will be subject to the jurisdiction of the competent courts of Sri Lanka, except where applicable law requires otherwise.
